Committees

The Audit Committee

The Audit Committee assists the Board in its duties regarding the Company's financial statements and meets with its internal and external auditors.

The committee, which has a minimum of five members of whom all are non-executive directors, are appointed by the Board of UCAS from amongst its members. One of the appointees will be a director co-opted to the Board under Article 27.2(f) for his or her experience in industrial, commercial or financial matters.

The Remuneration Committee

The Remuneration Committee deals with the remuneration of the Chief Executive and those senior staff appointed to personal contracts in line with policies agreed by the Board. The Remuneration Committee also meets with representatives of the Staff Council to discuss the annual performance award, and then makes a recommendation of what this should be to the Board.

The Governance Committee

The Governance Committee identifies possible candidates for membership of the Board and brings forward nominations to the Board for its consideration. In identifying possible candidates the committee takes into account a range of factors, including gender balance, skills, experience and professional background of existing and potential members of the Board.

The Resources Committee

The Resources Committee receives and reviews with the officers of the Company, reports on the performance of the Company and determines, within the constraints of various polices, issues on Membership of the Company and performance including financial performance before reporting its actions to the Board. The committee receives and makes recommendations to the Board on the three year business plans and budgets for the Company; and also prepares the Company's investment policy. The committee reports as appropriate to the Board.
